Product Terms of Service

These Product Terms of Service (“Product Terms”) govern your access to and use of specific InDesk products (“Product(s)”) – the InDesk app (“Application”), agents (“AI Agents”) or other software that may constitute a Product – provided by IntegratingMe d.o.o. (“Company”, “IntegratingMe”, “InDesk”, “indesk”, “InDesk AI”, “indesk AI”, “indesk.ai”, “we”, “us” or “our”) via the Zendesk Marketplace or wherever our Products are available.
By installing, accessing, or using the Product(s), you agree to be bound by these Product Terms. If you are entering into these Product Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Product Terms.
LICENSE AND USAGE TERMS
Subject to your compliance with these Product Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Product solely for your internal business operations in connection with your use of the Zendesk platform or other platforms where the Product(s) is/are available.

Ownership: We retain all rights, title, and interest in and to the Product(s), including all related intellectual property rights. Nothing in these Product Terms grants you any right to use our trademarks, logos, or domain names.

Updates: We may provide updates, patches, or upgrades to the Product(s). These Product Terms will govern any such updates unless separate terms are provided with the update.
ACCEPTABLE USE
You agree not to, and will not permit others to:

Reverse engineer, decompile, disassemble, or derive source code, underlying ideas, algorithms, or structure from the Product(s).

Use the Product(s) for any illegal purpose or in violation of any local, state, national, or international law.

Interfere with or disrupt the security, integrity, or performance of the Product(s).

Attempt to gain unauthorized access to the Product(s) or related systems.
⊚
Use the Product(s) to transmit any viruses, malware, or other harmful code.
⊚
Resell, rent, lease, distribute, or otherwise transfer rights to the Product(s) to any third party without our prior written consent.
WARRANTY DISCLAIMER
THE PRODUCT(S) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE PRODUCT(S) WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES. WE DO NOT WARRANT THAT THE PRODUCT(S) WILL MEET YOUR REQUIREMENTS OR THAT ANY DATA PROCESSED BY THE PRODUCT(S)WILL BE ACCURATE OR RELIABLE.
SPECIFIC DISCLAIMER FOR AI OUTPUTS: You acknowledge that the Product utilizes Artificial Intelligence and Machine Learning technologies. Outputs generated by the Product (including summaries, replies, and triage suggestions) may contain errors, inaccuracies, or 'hallucinations.' You agree that you are responsible for reviewing and verifying all AI-generated content before sending it to your end-users. We accept no liability for actions taken based on unverified AI outputs.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
(A) YOUR USE OR INABILITY TO USE THE PRODUCT(S);
(B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PRODUCT(S) SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING THE PRODUCT(S) DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
TERMINATION

Termination by You: You may terminate these Product Terms at any time by uninstalling the Product and ceasing all use.

Termination by Us: We may suspend or terminate your access to the Product immediately, without notice, if you breach these Product Terms. We also reserve the right to discontinue the Product(s) generally at any time.

Effect of Termination: Upon termination, the license granted in Section 1 ends immediately, and you must stop using the Product(s). Provisions regarding ownership, warranty disclaimers, and limitation of liability shall survive termination.
GOVERNING LAW AND DISPUTE RESOLUTION
These Product Terms shall be governed by and construed in accordance with the laws of Bosnia and Herzegovina, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Product Terms or the Product(s) shall be resolved through binding arbitration in Bosnia and Herzegovina or in the appropriate courts located in Bosnia and Herzegovina, and you consent to the jurisdiction of such courts.
