End User License Agreement (EULA)

This End User License Agreement (“Agreement” or “EULA”) is a legal contract between you (either an individual or a legal entity, hereinafter referred to as “you” or “Licensee”) and IntegratingMe d.o.o., located at Halilovići 16, 71000 Sarajevo, Bosnia and Herzegovina, registered under JIB: 4203049870003 . (“Licensor”, “Company”, “IntegratingMe”, “InDesk”, “indesk”, “InDesk AI”, “indesk AI”, “indesk.ai”, “we”, “us” or “our”).

This Agreement governs your use of the InDesk application, AI agents, and related or other software (collectively, the “Licensed Application” or “Product(s)”) provided via the Zendesk Marketplace or other platforms.

BY INSTALLING, DOWNLOADING, OR USING THE LICENSED APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE APPLICATION.

By using the Product(s), you acknowledge that you have read, understood, and agree to be bound by not only the EULA, but also our Product Terms and Product Privacy Policy. If you do not agree to the EULA, Product Terms and Product Privacy Policy, stop using the Licensed Application immediately.

1. LICENSE GRANT

Subject to your compliance with this Agreement, the Licensor grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Licensed Application solely for your internal business operations in connection with your use of the Zendesk platform or other platforms where the Product(s) is/are available.

This license does not grant you any ownership rights. All rights, title, and interest in and to the Licensed Application (including intellectual property rights) remain solely with IntegratingMe d.o.o.

2. RESTRICTIONS ON USE

You agree that you will not, and will not permit others to:

  • ⊚Reverse Engineer: Decompile, disassemble, reverse engineer, attempt to derive the source code of, or decrypt the Licensed Application.
  • ⊚Modify: Modify, adapt, improve, or create derivative works from the Licensed Application.
  • ⊚Redistribute: Rent, lease, lend, sell, redistribute, or sublicense the Licensed Application.
  • ⊚Illegal Use: Use the Licensed Application for any purpose that is illegal or prohibited by this Agreement or applicable law.
  • ⊚Interference: Interfere with or disrupt the security, integrity, or performance of the Licensed Application or related systems, or transmit viruses, malware, or harmful code.

3. AI DISCLAIMER AND OUTPUTS

You acknowledge that the Licensed Application utilizes Artificial Intelligence (AI) and Machine Learning technologies to provide features such as summaries, reply suggestions, and triage.

  • ⊚Accuracy: Outputs generated by the Licensed Application may contain errors, inaccuracies, or hallucinations.
  • ⊚Human Review: You agree that you are solely responsible for reviewing and verifying all AI-generated content before sending it to your end-users or taking action based upon it.
  • ⊚No Liability: The Licensor accepts no liability for actions taken based on unverified AI outputs.

4. DATA PRIVACY AND SECURITY

Your use of the Licensed Application is subject to our Product Privacy Policy, which is incorporated by reference into this Agreement.

  • ⊚Data Processing: You acknowledge that the Licensor processes data transiently to provide AI features, and stores certain types of data securely as listed in the Product Privacy Policy.
  • ⊚Third-Party AI Providers: The Licensed Application operates on a “Bring Your Own Key” model. You acknowledge that ticket data is sent directly to your chosen AI/LLM provider (e.g., OpenAI, Anthropic, etc.) using your credentials. We act as a pass-through processor and have no control over how your selected AI provider handles the data once transmitted.
  • ⊚Consent: You represent and warrant that you have obtained all necessary consents from your end-users regarding the processing of their data via the Licensed Application.

5. MAINTENANCE AND SUPPORT

The Licensor is solely responsible for providing maintenance and support services for the Licensed Application as required under applicable law. You acknowledge that the Marketplace operator where you accessed the Licensed Application (Zendesk or others) has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

6. WARRANTY DISCLAIMER

THE LICENSED APPLICATION IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE LICENSED APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES. WE DO NOT WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS OR THAT ANY DATA PROCESSED WILL BE ACCURATE OR RELIABLE.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTEGRATINGME D.O.O., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO, OR USE OF, THE LICENSED APPLICATION.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE LICENSED APPLICATION SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING THE APPLICATION DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless IntegratingMe d.o.o. and its affiliates, partners, officers, and employees from any claim, liability, loss, expense, or demand, including legal fees, related to your violation of this Agreement, your misuse of the Licensed Application, or your violation of any third-party rights or applicable laws.

9. TERMINATION

The license is effective until terminated by you or the Licensor.

  • ⊚Termination by You: You may terminate this Agreement at any time by uninstalling the Licensed Application and ceasing all use.
  • ⊚Termination by Us: Your rights under this license will terminate automatically without notice from the Licensor if you fail to comply with any term(s) of this Agreement.
  • ⊚Effect: Upon termination of the license, you shall cease all use of the Licensed Application and destroy all copies, full or partial, of the Licensed Application.

10. LEGAL COMPLIANCE

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

11. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of Bosnia and Herzegovina, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement or the Licensed Application shall be resolved through binding arbitration in Bosnia and Herzegovina or in the appropriate courts located in Bosnia and Herzegovina, and you consent to the jurisdiction of such courts.

12. CHANGES TO THIS AGREEMENT

The Licensor reserves the right to modify or update this Agreement at any time. Your continued use of the Licensed Application following the posting of any changes to this Agreement constitutes acceptance of those changes.
